Agreement has UNLV paying operational costs but stops short of calling that rent. Then says Oakland Raiders as Stadco will determine operational cost for UNLV later, as the Las Vegas stadium nears completion. That means UNLV could get stuck with a situation where costs overruns are passed to it to help pay. It’s clear the Joint-Use Stadium agreement was done without a clear understanding of costs and revenues associated with the stadium, and even though costs and revenues were talked about at the SNTIC hearings! Then, according to SNTIC, UNLV was to get $221 million in revenue offset money. But the way the agreement is written, there are three conditions such that UNLV may not see a dime of that money. For example, UNLV has to wait until the debt service reserve is at $9 million. Then there is the Capital Contribution and that is $75 million! And what if there is a deficit in revenue as it today and that money has to be used from the debt service reserve and then replaced? Bye, bye, UNLV! Those conditions should be removed and the sprit of the plan honored. St. Louis Circuit Court Judge Christopher McGraugh did the City of Oakland and the County of Alameda a giant solid in his denial of the NFL's pre-trail motion to dismiss various aspects of the lawsuit brought against it for the approval of the St. Louis Rams move to Los Angeles. On Wednesday, Judge McGraugh allowed city of St. Louis, St. Louis County and the Regional Convention and Sports Complex Authority claims of breach of contract to stand as the basis for what may be a court trial unless the League elects to settle with the parties. What I will collectively call The City of St Louis argues that the NFL violated its own relocation policy in the process of approving the St. Louis Rams move, and thus were guilty of a breach of contract. Since San Diego and Oakland were part of the same triangle of actions the NFL undertook to relocate the San Diego Chargers, the St. Louis Rams, and the Oakland Raiders, and all referred to the same relocation policy as a contract the NFL itself did not follow, what happened in St. Louis opens the door to what could be winable lawsuits in San Diego and particularly in Oakland. “Foreover Oakland”, a coalition of Raiders fans that secured two top sports lawyers, and tried to get the City of Oakland and Alameda County to join it, were initially rebuffed because the Oakland elected officials were concerned they may lose the court battle and be on the hook for millions of dollars. But Wednesday's actions in St. Louis will cause the NFL to produce potentially damaging communications that would strengthen Oakland's case. One is well known to many in the Oakland political community, the other not. Ken Houston, the well-known community liason and clean-neighborhood activist, has placed his hat in the ring to run for the office a second time. In fact, our agency went from providing 1-3 sessions of individual counseling per week to 60-80 sessions per week, from receiving no crisis hotline calls to providing crisis intervention to 30 Spanish-speaking surviving callers per month, and from managing zero Spanish-speaking volunteers to delegating 30 Latino volunteers. Unfortunately, government and federal grants are slow to responds to this capacity issue and BAWAR´s Latino Program is in need of financial support to continue to provide the following key services to surviving Latinos in Alameda County.” At present, neither Mr. Houston nor Ms. Molina has not posted a visible-in-search website or social media page for their mayoral asperations, but I will report when they do. Clark County Zoning Board Gets Bad Oakland Raiders Las Vegas NFL Stadium Infrastructure Development

Clark County Zoning Board Gets Misnamed, Incomplete Oakland Raiders UNLV NFL Stadium Infrastructure Development Agreement On January 3rd 2018, the Clark County Board of Commissioners, meeting as the Zoning Committee, will take up the reqiest by Clark County Planning Department Staff to approve a 56-page document that's both mis-named and incomplete. It's called “A Development Agreement With LV Stadium And Events Company”, which inplies that Clark County will take up the full and complete development agreement as spelled out in Section 29 of the Southern Nevada Tourism and Infrastructure Committee (SNTIA). But in point of fact, the agreement only covers who does what and pays for what with respect to roads, and sewers and street lights with respct to the Oakland Raiders / Las Vegas UNLV NFL Stadium – it has nothing to do with the more complex specifications for the stadium events center itself. Additionally, the infrastructure development agreement has no language that explains under what authority the stadium is to be constructed, and under what legal direction the infrastructure work is to be done. For example, the SNTIA Section 29, 2 (h) calls for developer, that's the Raiders to “Provide for an adequate contribution by the developer partner for the construction or improvement of any infrastructure off the site of the project that is determined to be necessary for the project by the Department of Transportation, the County or any municipality in which the project is located and that is specified in the regional infrastructure and service evaluation required for a high mpact project before a special use permit is issued for the project; The (what should be called) Clark County Las Vegas Stadium Infrastructure And Transportation Development Agreement does not name the SNTIA as its reference document, but then is written to assign basicaly the same set of responsibiltiies to the Developer, which is the Raiders, as the SNTIA. Does that mean the eventual development agreement written for the Stadium Authority will not include that assignment of responsibility, even though the law says it has to be there? It looks like a kind of “left-hand” versus “right-hand” problem, where we have Clark County Commissioner Steve Sisolak leading Clark County staffers in one direction, almost without the involvement of the Stadium Authority. I say that because his name and signature is attached to the reports on the agenda item. Thus, we have Sisolak representing the “left-hand” and the Las Vegas Stadium Authority as the “right-hand” and they're obviously not connected to any body in the middle. Going back to Section 29, 2 (h), where's the language saying that the Raiders have to provide an adequate contribution by the developer partner for the construction or improvement of any infrastructure off the site of the project that is determined to be necessary for the project by the Department of Transportation, the County, as per the SNTIA? Yes, the overall order of the development agreement has the Raiders as developer agreeing to pay for And under “Property Dedications” in the (what should be called) Clark County Las Vegas Stadium Infrastructure And Transportation Development Agreement, no mention is made of the process called for in the SNTIA and where the land is to be conveyed from the Raiders as Developer to the Stadium Authority, and not to Clark County without the Stadium Authority, which is required for the purpose of issuing bonds with respect to the $750 million subsidy. The Clark County document acts as if there is no need for the Stadium Authority in this case, when it is there for the issuance of bonds in partnership with Clark County. In short, the document was written with no reference to the SNTIA or the Las Vegas Stadium Authority Board, even though the SNTIA gives the County its powers of assignment of infrastructure development with respect to the stadium project, just by mention. But the SNTIA also has the Stadium Authority Board in position to issue approval on activities that may have to be done by the Raiders as developer – see SNTIA Section 29, 2(i). The sections of the Clark County agreement, like Section 2.01 (c) called “County Authorization, Hearing, and Ordinance”, makes no mention of the SNTIA as the true governing law representing the State of Nevada. Clark County Zoning Board Gets Misnamed, Incomplete Oakland Raiders UNLV NFL Stadium Infrastructure Development Agreement On January 3rd 2018, the Clark County Board of Commissioners, meeting as the Zoning Committee, will take up the reqiest by Clark County Planning Department Staff to approve a 56-page document that's both mis-named and incomplete. It's called “A Development Agreement With LV Stadium And Events Company”, which inplies that Clark County will take up the full and complete development agreement as spelled out in Section 29 of the Southern Nevada Tourism and Infrastructure Committee (SNTIA). But in point of fact, the agreement only covers who does what and pays for what with respect to roads, and sewers and street lights with respct to the Oakland Raiders / Las Vegas UNLV NFL Stadium – it has nothing to do with the more complex specifications for the stadium events center itself. Additionally, the infrastructure development agreement has no language that explains under what authority the stadium is to be constructed, and under what legal direction the infrastructure work is to be done. For example, the SNTIA Section 29, 2 (h) calls for developer, that's the Raiders to “Provide for an adequate contribution by the developer partner for the construction or improvement of any infrastructure off the site of the project that is determined to be necessary for the project by the Department of Transportation, the County or any municipality in which the project is located and that is specified in the regional infrastructure and service evaluation required for a high mpact project before a special use permit is issued for the project; The (what should be called) Clark County Las Vegas Stadium Infrastructure And Transportation Development Agreement does not name the SNTIA as its reference document, but then is written to assign basicaly the same set of responsibiltiies to the Developer, which is the Raiders, as the SNTIA. Does that mean the eventual development agreement written for the Stadium Authority will not include that assignment of responsibility, even though the law says it has to be there? It looks like a kind of “left-hand” versus “right-hand” problem, where we have Clark County Commissioner Steve Sisolak leading Clark County staffers in one direction, almost without the involvement of the Stadium Authority. I say that because his name and signature is attached to the reports on the agenda item. Thus, we have Sisolak representing the “left-hand” and the Las Vegas Stadium Authority as the “right-hand” and they're obviously not connected to any body in the middle. Going back to Section 29, 2 (h), where's the language saying that the Raiders have to provide an adequate contribution by the developer partner for the construction or improvement of any infrastructure off the site of the project that is determined to be necessary for the project by the Department of Transportation, the County, as per the SNTIA? Yes, the overall order of the development agreement has the Raiders as developer agreeing to pay for And under “Property Dedications” in the (what should be called) Clark County Las Vegas Stadium Infrastructure And Transportation Development Agreement, no mention is made of the process called for in the SNTIA and where the land is to be conveyed from the Raiders as Developer to the Stadium Authority, and not to Clark County without the Stadium Authority, which is required for the purpose of issuing bonds with respect to the $750 million subsidy. The Clark County document acts as if there is no need for the Stadium Authority in this case, when it is there for the issuance of bonds in partnership with Clark County. In short, the document was written with no reference to the SNTIA or the Las Vegas Stadium Authority Board, even though the SNTIA gives the County its powers of assignment of infrastructure development with respect to the stadium project, just by mention. But the SNTIA also has the Stadium Authority Board in position to issue approval on activities that may have to be done by the Raiders as developer – see SNTIA Section 29, 2(i). The sections of the Clark County agreement, like Section 2.01 (c) called “County Authorization, Hearing, and Ordinance”, makes no mention of the SNTIA as the true governing law representing the State of Nevada. It's as if the Governor of Nevada had nothing to do with the stadium, let alone form the Southern Nevada Tourism and Infrastructure Committee that wrote the recommendations that the Nevada Legislature approved to become the SNTIA. Answering Oakland Raiders Las Vegas NFL Stadium Hotel Tax Revenue Questions 1.  How can you say there's a problem if they're collecting tax money monthly for a $50 million waterfall?  Because for the desired $50 million waterfall to be reached, the average monthly revenue would have to be at $4.16 million.  Right now, the average is at $3,814,747 - $345,252.56 less that what it should be at per month.   While that's not the only problem, they're on track to collect $45,776,969.33 for the 12-month period.   So, even their waterfall mark is off.  2.  Why do you say the Las Vegas Stadium Authority can't afford the $750 million subsidy?  Because even if the LVSA were able to subtract $50 million from the bond issue, and have a $700 million bond issue at 4 percent interest for 30 years (the life of the Raiders and UNLV lease for the stadium and the reported term of collection of the stadium tax), using a simple municipal bond calculator, the monthly bond debt service would be $3,341,907.07, and you have to multiply that times required the debt coverage ratio to get the monthly income you need from the stadium hotel tax to meet industry requirements to pay off that bond - that equals a need for a stadium tax revenue per month of $5,012,860.  That mark was reached once in the short history of this, and that was March of 2017.  That's $1,198,113.60 per month more than the current monthly average Clark County stadium tax revenue of $3,814,747 - in fact, it's also more than the $4.16 million average needed for the $50 million waterfall.  Which begs the question: why have a $50 million waterfall, and not more to meet the bond average, in the first place?  And that's another giant problem that points to Nevada politics.   And I'm not done, here. 3.  If the Las Vegas Stadium Authority can't afford the $750 million subsidy, how did we get to it? Because both Oakland Raiders Owner Mark Davis and Las Vegas Sands representatives said they would walk away from the Southern Nevada Tourism and Infrastructure Committee, and stadium talks, if the subsidy was not set at $750 million.  That flew in the face of the original studies which showed that even a hotel tax of one percent (and not the 7/10ths of one percent or the eventual 88/100ths of 1 percent), would allow a subsidy of $550 million.   But then the elected officials on the SNTIC didn't want a one-percent rate, and so it was dropped, first to 7/10ths of one percent, and then to 88/100ths of 1 percent - and the consultants were tasked to make it look like that could work, even though it really could not work. But the Oakland Raiders and Las Vegas Sands were going to run away and Raiders President Mark Badain balked, so the SNTIC / LVSA consultants created a way on spreadsheet to show how a $750 million subsidy could be done.  What they did, was avoid showing the use of a low bond interest rate of 2 percent, and while they showed bond debt payments extending out beyond the 30 year tax period, failed to tell anyone where that money was going to come from if they were going to stop collecting the tax after 30 years - even as the chart showed eight additional years of monies collected after the tax ended.  Well, the simple answer is this: the Clark County General Fund.  Thus, the promise that the stadium was going to be funded by the public and only by the hotel tax, and not touch the Clark County General Fund, was not true.  All of this was done to keep the Oakland Raiders and Las Vegas Sands at the SNTIC negotiating hearings for a stadium.  Now, the real numbers are here, they're not good, and because of two things: the too-low stadium hotel tax rate, and the One October horror.  Even after the eventual recovery of Las Vegas tourism, the problem produced by the too-large subsidy and the too-low tax rate will mean Clark County General Fund suffers - unless the 39 percent public contribution rule is applied as spelled out by the law.  If that's done and the Raiders are asked to pay the difference, that also would impact the team's ability to have a stadium in Las Vegas without going broke in the process.

Oakland Raiders Las Vegas NFL Stadium November Room Tax Revenue At All Time Low $3.2 Million The Clark County, Nevada Stadium Hotel Tax Revenue report for November 2017 came up with a number that was the lowest in the short history of the collection of the portion of money from hotel room rentals that was earmarked for the Oakland Raiders / UNLV Las Vegas Stadium Project: just $3.2 million. That's not only an all-time low, it's lower than the previous month of Octobers revenue of $4,327,651 by approximately $1,127,651, and lower than the previous low of $3,739,737 by $539,737. The November Stadium Room Tax Revenue news was issued in a tweet by Clark County Commissioner Steve Sisolak, who added that the number was "below projections." That marks the first time Commissioner Sisolak shared bad news about the stadium tax revenue report without even an attempt to sugar-coat it. And that's because it represents a giant dip. While Sisolak did not share what the projected number was, my educated guess is that it was at least $4.2 million, which means we should expect to see a deficit number around, if not greater than, $1 million. What this means is two things: the path to collect $50 million in pre-bond tax money for the stadium bonds hit a giant snag, and if December numbers are similar, then we could see the near-evaporation of the $2.5 million surplus that was posted in October. It also means the planned bond issue of $700 million at 30 years, and assuming a interest rate of 4 percent, and at debt-coverage ratio of 1.5, this revenue report is not enough to effectively pay for that subsidy - it would have to be reduced, or the stadium hotel tax rate of 88/100ths of 1 percent would have to be increased. This is why I recommended increasing the tax rate to 1.4 percent - to have a cushion to avoid problems like the one created by the horrible event that was One October. But that would call for returning to the Nevada Legislature. Also, this could mean the downsizing of the stadium project to a UNLV-sized facility of 45,000 seats, and a reduction in the subsidy level from $750 million, and because the tax is not throwing off enough monthly money to pay for the bond issue originally proposed for the Oakland Raiders Stadium.
